THIS IS A CONTRACT. BY USING THESE IMAGES, YOU AGREE TO ACCEPT

BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.
Upon acceptance of this Agreement, GAF Materials Corporation
(GAFMC) grants you a non-transferable, non-exclusive license
to use the logos and trademarks contained herein solely for
purposes relating to the promotion and sale of GAFMC’s
roofing products, provided that you agree to be bound by the
terms and conditions of the Agreement. All other uses of the
logos and trademarks contained on it are prohibited. This license
may be revoked at any time without prior notice, and all use
of the licensed logos and trademarks must cease.
Use of the Logos and Trademarks. The logos and trademarks contained
herein are proprietary to GAFMC. They are licensed to you only
under the following terms and conditions. You may use these
images only for purposes relating to the promotion and sale
of GAFMC’s roofing products. You may not sell, lease or
distribute copies of these images to others. You may not copy
any portion of these images for the purpose of alteration (except
that you may change the overall size of a logo as necessary
to fit your particular graphic need). You may not modify or
otherwise alter the content of the logos and trademarks. You
agree to use the logos and trademarks only in a manner consistent
with the principles of proper trademark usage.
Intellectual Property Rights. You acknowledge that GAFMC owns
the logos and trademarks and that the logos and trademarks are
distinctive and indicate the source of GAFMC’s products
that bear the logos and trademarks. You agree not to challenge
the validity of or GAFMC’s title to the logos and trademarks,
and not to oppose or petition to cancel any applications filed
or registrations received for the logos and trademarks. All
rights created by or arising from use of the logos and trademarks
shall be and remain the sole and exclusive property of GAFMC.
You shall not attempt to register or claim rights in the logos
or trademarks alone or as part of another mark in the United
States or foreign jurisdictions. Except as stated above, this
Agreement does not grant you any intellectual property rights
in the logos or trademarks, or to any patents, trademarks, copyrights
or other intellectual property rights owned or licensed by GAFMC.
No Warranty. These images are being supplied to you AS IS. GAFMC
MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND, WHETHER EXPRESS
OR IMPLIED, WITH RESPECT TO THESE IMAGES. GAFMC SPECIFICALLY
DISCLAIMS ANY IMPLIED WARRANTIES, WHETHER OF MERCHANTABILITY,
SUITABILITY, FITNESS FOR A PARTICULAR PURPOSE, INFRINGEMENT
OR OTHERWISE.
Limitation of Liability. This Agreement shall be governed by
the laws of the State of New Jersey, excluding the application
of its conflict of law rules. If any part of this Agreement
is found void and/or unenforceable, it shall not affect the
validity of the remainder of the Agreement, which shall remain
valid and enforceable according to its terms. This Agreement
shall terminate automatically upon your failure to comply with
any of its terms. The Agreement can be amended only in writing
signed by an authorized officer of GAFMC.
